Constitution of the Choir

CONSTITUTION

1. TITLE
The name of the choir shall be the Solihull Choral Society, hereinafter referred to as the Society.
2. OBJECTS
The objects of the Society shall be to educate the public in the arts and sciences, and in particular the art and science of music, by the presentation of concerts and other activities.
3. MEMBERSHIP
The members of the Society shall be:
(a) those persons who pay the specified annual subscription for Choral members, the subscription being payable in advance by the 30th September in each year and who shall provide such evidence of musical ability as the Committee may require.
(b) those persons who pay the specified annual subscription entitling them to the status of Patrons of the Society.
(c) those persons who pay the specified annual subscription entitling them to the status of Associate Members of the Society.The appropriate rate of subscription for each category of member shall be determined at the Annual General Meeting.
4. OFFICERS AND COMMITTEE
The management of the Society shall be in the hands of the Committee, consisting of a Chairman, an Honorary Secretary, and an Honorary Treasurer, a Business Manager, Concert Manager, and up to eight other members with a minimum of four; where possible these shall be drawn from all sections of the Society; the Committee shall then have the power to co-opt other members; they shall hold office for one year and be eligible for re-election. Nominations shall be sent to the Honorary Secretary before the Annual General Meeting and the consent of all the nominees shall be obtained beforehand.
5. MANAGEMENT
All the arrangements for the concerts and other events and the control of finance shall be in the hands of the Committee.
6. FINANCE
(a) The financial year shall end on the last day of June.
(b) The banking account shall be opened in the name of the Society and cheques shall be signed by two officers of the Society.
(c) The Society may receive donations, grants in aid and financial guarantees, and tickets for all or any of its concerts and other events may be offered for sale to the public.
(d) Members of the Society shall undertake when necessary to provide copies of the music selected for performance.
(e) The income and property of the Society however acquired shall be applied solely towards promoting the objects of the Society as set forth above and no portion thereof shall be transferred either directly or indirectly to any member of the Society except in payment of legitimate expenses incurred on behalf of the Society.
(f) In the event of the winding-up or dissolution of the Society any remaining assets after all liabilities have been discharged shall not be transferred to any members of the Society, but shall be transferred to a charitable organisation whose objects are similar to those of the Society and whose rules preclude the distribution of income and assets among its members.
7. GENERAL MEETING
Within three months after the end of each financial year the members shall be summoned to an Annual General Meeting of which at least fourteen days notice in writing shall have been given.
8. AUDITED ACCOUNTS
The financial accounts shall be audited and submitted to the members at the Annual General Meeting.
9. AMENDMENTS
This constitution may be amended provided that any proposed amendment must appear on the Agenda for the Annual General Meeting, or Special General Meeting; unless such proposal is sponsored by the Committee, a copy of the resolution must be sent to the Honorary Secretary at least twenty one days before the date of the meeting, and provided also that nothing therein contained shall authorise any amendments which may have the effect of the Society ceasing to be a Charity. A two-thirds majority of the members present and voting shall be necessary for the passing of such a resolution.
